Conditions for Online Seminars

The following conditions are part of the contract between you (hereinafter: client) and microTOOL GmbH, Berlin (hereinafter: microTOOL). They concern the general conditions of online seminars organised by microTOOL and govern all legal relationships between the client and microTOOL, unless otherwise agreed in writing by the parties.

1. Date and Time

If you are taking part in an online seminar over several days, the seminar starts at 09.00 on the first day. On the last day of the seminar, the seminar ends between 4.00 pm and 5.30 pm. One-day seminars take place from 09.00 to 17.00. If you take part in a seminar followed by a certification examination, the certification examination usually begins at 3.30 pm on the last day of the seminar and ends at 5.00 pm. All conditions for the certification examination are provided by the organisation conducting the examination. For other online seminars, we will inform you of the start and end times in advance of the date.

2. Participation Fee

The participation fees include all training, seminar and lecture materials. Participation fees do not include telephone or internet usage costs. Invoices will be issued immediately after registration for the seminar. The invoice is payable in full within 30 days of the invoice date.

Participation and examination fees are subject to VAT at the statutory rate.

3. Cancelation

Cancelation of a seminar must be made by the client in writing – by fax, letter or e-mail. Every cancelation will be confirmed by microTOOL by e-mail.

Cancelations up to six weeks before the start of the seminar will not incur any costs. Cancelations within six to two weeks before the start of the seminar will incur a processing fee of 20% of the participation fee and, if applicable, the examination fee. Cancelations within two weeks before the start of the seminar or non-participation will be charged the full participation fee and, if applicable, the examination fee.

microTOOL reserves the right to make changes to prices and conditions and to cancel events if demand is too low, lecturers are unavailable or for other reasons for which microTOOL is not responsible, even after registration has been confirmed. If microTOOL cancels a seminar, any fees paid will be refunded in full. There are no further claims.

4. Rights to Event Documents

All training, seminar and lecture documents, presentations, working materials and documentation (hereinafter collectively referred to as “event documents”) are protected by copyright. The client is not entitled to reproduce or utilize the event documents, neither physically nor immaterially. The client’s legal right to pass on original physical copies of event documents provided by microTOOL to third parties remains unaffected.

The client is obliged to retain all protective notices such as copyright notices and other legal reservations in the event documents unchanged.

5. Liability – No Liability for any Consequential Damage or Losses

With the exception of damages caused intentionally or by gross negligence, microTOOL is not liable for any damages caused by services rendered. This also applies without exception to loss of business profits, business interruption, loss of business information or other economic loss, even if microTOOL has been advised of the possibility of such damage in advance. In the case of slight negligence, microTOOL is only liable if an essential contractual obligation is violated. The liability of microTOOL is limited to three times the amount you have paid for the services. The limitation of liability does not apply to damages resulting from injury to life, limb or health.

6. Partial Nullity Clause

Should individual provisions of this contract be void or unenforceable, this shall not affect the remainder of the contract. The invalid or unenforceable provision shall be deemed to be replaced by a valid or enforceable provision that fulfills the intended purpose of the contract in a legally valid form and comes as close as possible to the intended economic result. The parties are obliged to cooperate in determining the effective or enforceable provision.

7. German Law

This contract is subject to German law. The place of contract and jurisdiction is Berlin. In the case of an order via e-commerce, the contract is deemed to have been concluded at the time when the order confirmation appears on your screen, but at the latest after receipt of an e-mail or letter with the order confirmation.

Your General Terms and Conditions of Business and Purchase do not apply.
